Terms of Service

These Terms of Service ("Terms") govern your use of the Kopern platform ("Service"), operated from France.
1. Acceptance
By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. Service Description
Kopern is an AI agent builder platform that allows you to create, test, grade, optimize, and deploy AI agents. The Service includes: agent creation and configuration, grading engine, optimization lab, multi-provider LLM integration, deployment connectors (widget, webhooks, Slack, MCP), billing and usage tracking.
3. Account & API Keys
You are responsible for maintaining the security of your account credentials and API keys. Kopern stores your LLM provider API keys encrypted in Firestore to execute agent requests on your behalf. You must have valid agreements with LLM providers whose keys you provide. Kopern is not liable for charges incurred on your provider accounts.
4. Acceptable Use
You agree not to: use the Service for illegal purposes, attempt to bypass security measures, share API keys with unauthorized parties, use agents to generate harmful, misleading, or illegal content, reverse-engineer or scrape the Service.
5. Billing & Payments
Free (Starter) tier has limited features. Paid plans (Pro, Usage-Based, Enterprise) are billed through Stripe. Usage-based billing applies a 17% platform fee on top of LLM provider costs. You can cancel at any time; access continues until the end of the billing period. Refunds are handled on a case-by-case basis.
6. Intellectual Property
You retain all rights to the agents, prompts, tools, and content you create on Kopern. Kopern retains rights to the platform, UI, and underlying technology. Agents deployed via connectors (widget, webhook, Slack) remain your property.
7. Limitation of Liability
Kopern is provided "as is". We are not liable for: LLM provider outages or errors, content generated by your agents, data loss beyond our reasonable control, indirect or consequential damages. Our total liability is limited to the amount you paid us in the 12 months preceding the claim.
8. Termination
Either party may terminate at any time. Upon termination, you may export your data within 30 days. After 30 days, your data will be permanently deleted.
9. Governing Law
These Terms are governed by French law. Disputes shall be submitted to the courts of Paris, France.
10. Changes
We may update these Terms with 30 days notice. Continued use after the notice period constitutes acceptance.
